1. Introduction

Welcome to Manzilo. These Terms of Service govern your use of our property management platform and services. By accessing or using Manzilo, you agree to be bound by these terms. If you do not agree with any part of these terms, you may not use our services.

2. Definitions

• "Platform" - The Manzilo property management software, including web applications, mobile applications, and related services.
• "User" - Any person or entity that accesses or uses the Platform, including landlords, property managers, tenants, maintenance staff, and vendors.
• "Services" - All features, functionalities, and services provided through the Platform, including WhatsApp integrations.
• "Content" - All data, information, text, images, and materials uploaded, submitted, or stored on the Platform.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use Manzilo. By using our services, you represent and warrant that you meet these eligibility requirements. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

4. Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree to use Manzilo only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Platform or other users' accounts

6. WhatsApp Integration

Manzilo integrates with WhatsApp Business API to facilitate communication between property managers, tenants, and maintenance staff. By using our WhatsApp features, you acknowledge that messages are sent through official WhatsApp Business channels with end-to-end encryption. You agree to use this feature in compliance with WhatsApp's terms of service and applicable messaging regulations. We do not store or access the content of your WhatsApp messages beyond what is necessary to provide the service.

7. Payment Terms

Manzilo offers subscription-based pricing on a per-unit basis. All fees are billed in advance on a monthly or annual basis as selected during registration. Prices are quoted in UAE Dirhams (AED) unless otherwise specified. We reserve the right to modify our pricing with 30 days' notice. Failure to pay fees may result in suspension or termination of your account.

8. Intellectual Property

All intellectual property rights in the Platform, including software, designs, logos, trademarks, and content created by Manzilo, remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes. You may not copy, modify, distribute, or create derivative works of any part of the Platform without our prior written consent.

9. Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy. By using Manzilo, you consent to the collection and processing of your data as described in our Privacy Policy. We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, or destruction.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Manzilo and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform. Our total liability for any claims arising under these terms shall not exceed the amount you paid to us in the twelve months preceding the claim. This limitation applies regardless of the theory of liability.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access to the Platform immediately if you breach these terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately. We may retain your data as required by law or for legitimate business purposes.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or related to these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. You agree to submit to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on the Platform and updating the 'Last Updated' date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated terms. We encourage you to review these terms periodically.
